These Terms & Conditions (“Agreement”) govern all purchases of products (“Products”) made directly from Shohaus by individual clients or design trade customers (“Customer”).
By accessing our site, requesting a quote, and / or placing an order, you agree to the Terms and Conditions set forth on this page. If you do not agree, please do not access our site, request a quote, and / or place an order.
Consumer vs. Trade Customer
Shohaus primarily serves design-trade professionals, project clients, and business customers. If you are purchasing as an individual consumer, you acknowledge that certain terms in this Agreement reflect the business-to-business nature of the transaction. Where applicable consumer protection laws apply, they are preserved only to the extent required by law and nothing in this Agreement shall be construed to limit or waive any non-waivable rights afforded to you as a consumer under applicable law.
Definitions
Shohaus: Shohaus LLC, the seller and manufacturer of the Products.
Customer: The individual or entity purchasing Products from Shohaus, including trade professionals, designers, and project clients.
Products: All furniture, goods, or materials manufactured, supplied, or sold by Shohaus under an Order.
Order Acknowledgment: The written confirmation issued by Shohaus that specifies the order details, quantities, specifications, pricing, shipping terms (including any Incoterm), and Estimated Completion Date (ECD). The Order Acknowledgment governs over prior correspondence.
Estimated Completion Date (ECD): The anticipated completion date for production as stated in the Order Acknowledgment, subject to change based on production or logistics factors.
Production Commencement: The earliest of (i) issuance of a Shohaus work order, (ii) release of drawings or finish tickets to production, (iii) purchase of materials or components for the Order, or (iv) five (5) business days after the date of the Order Acknowledgment.
Custom / Made-to-Order: Any Product manufactured to non-standard dimensions, finishes, or configurations, or using Customer’s Own Materials (COM/COL), or otherwise produced specifically for the Customer and not designated as a Stock or Ready-to-Ship item.
Stock / Ready-to-Ship Item: A Product designated by Shohaus as in-stock and available for shipment without modification.
Customer’s Own Materials (COM/COL): Fabric, leather, or other material supplied or specified by the Customer for use in or on the Products..
Return Merchandise Authorization (RMA): Written authorization issued by Shohaus allowing the return of a Stock or Ready-to-Ship item under the terms of this Agreement.
Incoterms: The international commercial terms (Incoterms® 2020) published by the International Chamber of Commerce, governing delivery obligations, transfer of risk, and cost allocation.
DDP Los Angeles, CA: Delivered Duty Paid, Los Angeles, California, under Incoterms® 2020, with title and risk of loss transferring to the Customer upon delivery at the named destination unless another Incoterm is stated on the Order Acknowledgment..
Force Majeure: Any event beyond Shohaus’s reasonable control, including but not limited to natural disasters, epidemics, war, terrorism, cyber incidents, government orders, port congestion, container shortages, vessel omissions, labor actions, embargoes, sanctions, changes in customs or trade policy, power failures, and transportation network disruptions.
Third-Party Products or Services: Components, materials, or services provided by third parties and incorporated into or used with the Products, which remain subject to the third party’s separate terms and warranties..
Care / Installation Instructions: The written or electronic guidelines issued by Shohaus outlining proper care, acclimation, installation, anchoring, and safety procedures for the Products..
Pricing
All prices are subject to change without prior notice. Orders are invoiced at the price in effect at the time of confirmation. Written quotes are valid for thirty (30) days unless otherwise specified in writing.
Deposits & Payments
Orders Up to $20,000
Orders under or exactly $20,000 require full prepayment at the time of checkout before any work to begin. This includes discovery, design, material procurement, and/or production.
Orders over $20,000
Orders over $20,000 require a non-refundable deposit of fifty percent (50%) of the total order value is required to schedule production. The remaining balance is due prior to shipping or pickup.
Accepted Payment Methods
Shohaus accepts payment by check, wire transfer, or credit card (subject to a 3% processing fee). Late balances are subject to interest at 1.5% per month or the maximum legal rate permitted. Shohaus reserves the right to suspend performance or hold delivery until all amounts due are paid in full.
All Deposits and Payments Are Final
Customer agrees that deposits and payments for custom or made-to-order Products are final and not subject to chargeback, reversal, or dispute through any financial institution. In the event of a chargeback, Shohaus may suspend performance and pursue the full balance due, together with reasonable collection costs, chargeback fees, and attorneys’ fees to the extent permitted by law.
Order Acknowledgment
Shohaus will issue an order acknowledgment within approximately forty-eight hours of receipt of deposit and order details. The acknowledgment is the controlling production document and supersedes prior correspondence. Customer must review it carefully; Shohaus is not responsible for errors once approved.
Electronic approvals, digital signatures, and email confirmations shall constitute valid and binding acceptance of the Order Acknowledgment and this Agreement, with the same force as a manually signed document.
Customer will provide timely approvals, accurate information, site access, and reasonable cooperation. Shohaus is not liable for delays, cost increases, or schedule impacts caused by Customer’s failure to provide approvals, information, or access when requested in writing.
Production, Origin, & Logistics
Shohaus conducts design, marketing, sales, and customer service primarily through its Los Angeles office and remote teams. Production is performed internationally by Shohaus’s partner workshops using artisanal methods. Shohaus makes no claim that Products are manufactured in the United States. Products will bear country-of-origin markings as required by applicable law.
Customer acknowledges and agrees to the following:
Origin: Products are manufactured internationally. Shohaus makes no claim that Products are manufactured in the United States or at our Los Angeles Studio.
Quality Control at Origin. Products undergo internal quality control prior to shipment. Upon transfer to the carrier in accordance with the Order’s shipping terms, risk for post-transfer changes, damage, or loss lies with the carrier and/or Customer.
Customer-Requested Inspections. If Customer requests third-party inspection, testing, or certification at origin, such services must be arranged and paid by Customer in advance. Inspection-related delays extend the ECD and transit dates.
Transport & Transit. The typical mode of shipment is ocean freight, with onward domestic transport by ground carriers. All transit times, sailing schedules, and port/rail throughput times are estimates only and subject to change without notice.
Delays & Force Majeure. Shohaus shall not be liable for delays due to events beyond reasonable control, including but not limited to port congestion, container shortages, labor strikes, pandemic-related shutdowns, acts of international authorities, embargoes, extreme weather, or vessel/rail disruptions.
Risk, Title, and Loss in Transit. Title and risk of loss transfer in accordance with the shipping terms stated on the Order (if not stated, default DDP Los Angeles, CA). Shohaus bears no responsibility for loss, theft, damage, or delay occurring after such transfer. If Shohaus arranges freight as a courtesy, it does so without assuming carrier liability; Customer must pursue claims directly with the carrier unless otherwise agreed in writing.
Abandoned/Refused Shipments. If Customer refuses delivery or fails to complete payment after Products arrive at port or final destination, the order may be treated as abandoned. Shohaus may resell or dispose of the Products and apply proceeds to outstanding balances; Customer remains liable for all freight, storage, demurrage, customs, and disposal fees.
Marketing & Representation: Any references to “handcrafted” or “handmade” describe artisanal production methods and do not imply U.S. manufacture. By placing an order, Customer acknowledges international manufacture and ocean freight logistics.
Compliance: Shohaus complies with applicable import and export laws. Customer is responsible for compliance with any local restrictions, labeling requirements, or resale regulations.
Lead Time & Storage
Shohaus makes every effort to complete orders within the estimated production window of ten (10) to fourteen (14) weeks, but lead times vary depending on project complexity, material availability, and production schedule. An Estimated Completion Date (ECD) is provided on your order acknowledgment. If unforeseen circumstances prevent completion by the ECD, Shohaus may notify you and provide a revised schedule.
Completed orders will be held for up to two (2) weeks beyond the Notice of Completion at no charge. After this period, storage fees will be assessed at the greater of three percent (3%) of the order value per week or fifty dollars ($50) per piece per week. Storage does not transfer title. If storage and outstanding balances remain unpaid for thirty days after notice, see Section 20 on abandoned property.
Quoted production lead times and transit durations are estimates only and not guarantees. Shohaus is not liable for consequential or incidental damages, lost profits, or schedule impacts arising from production, transit, or customs delays.
Shipping & Delivery
All shipments are DDP Los Angeles, California unless otherwise agreed in writing. Freight, crating, and handling charges apply to all orders. Shipping rates (standard curbside delivery) will be provided during the order process. White-glove delivery services are available upon request and subject to quotation and additional charges.
Shohaus is not responsible for:
Carrier or freight delays.
Customs clearance or processing delays.
Weather-related delays.
Labor actions or carrier work stoppages.
Delivery site access issues.
Damages incurred during transit. All deliveries are insured by the delivery company and we will work with the Customer to file any claims with the delivery company.
If delivery is attempted and fails due to site conditions or Customer unavailability, redelivery, hold, and ancillary fees will apply. Orders held more than seven days after final payment may incur storage fees per Section 5.
Title & Risk of Loss
For orders shipped under DDP Los Angeles, CA (Incoterms® 2020), title and risk of loss pass to Customer upon delivery at the named destination. If a different Incoterm is specified on the Order Acknowledgement, title and risk shall pass at the point set by that Incoterm. Where Shohaus assists with freight arrangements, such assistance is provided as a convenience only and does not shift carrier liability to Shohaus. Customer must pursue transit claims directly with the carrier unless otherwise agreed in writing.
Export / Import Compliance; Duties and Taxes
Customer acknowledges and agrees that if the Product is shipped or exported outside the United States (or originates from outside the United States), Customer shall be responsible for all applicable import duties, taxes, customs, brokerage fees, port charges, and compliance with export control laws. Title and risk of loss shall pass as specified in the Shipping & Delivery terms, and Customer shall indemnify Shohaus for any liability arising from Customer’s failure to comply with applicable export/import requirements.
Receiving & Inspection
To preserve claim rights, customers (or their designated receivers) must follow the inspection process below:
Inspection Process:
Inspect all packaging immediately upon delivery.
If minor damage (such as scuffs or tears) is present, take photographs and note on the Bill of Lading: “Received with visible packaging damage.” and notify Shohaus within forty-eight (48) hours.
If significant packaging damage is present (punctures, collapsed crates, broken structure), take photographs, refuse delivery, and notify Shohaus within forty-eight (48) hours.
Customer must inspect the Product upon delivery and notify Shohaus in writing of any visible damage or defect within forty-eight (48) hours of delivery. Claims for damage must include time-stamped photographs clearly showing the packaging and the affected area of the Product. Claims submitted without photographic documentation may be denied at Shohaus’s sole discretion. Failure to provide timely notice shall constitute final acceptance of the Product as delivered and precludes claims for visible damage. Latent defects must be disclosed promptly after discovery and subject to the warranty process.
If Customer arranges Will Call or uses a non-Shohaus carrier, Customer is solely responsible for inspection and freight claims. Shohaus cannot file claims on Customer’s behalf for such shipments. Installation constitutes acceptance of the Product.
All Products are inspected prior to shipment at origin. Damage or changes occurring after transfer to the carrier are outside Shohaus’s control. Customer’s failure to follow the delivery-day inspection protocol and timely written notice requirements may result in denial of claims.
Customer Acceptance / Finality
Customer’s inspection, approval of the Order Acknowledgment, and/or installation of the Product (whichever occurs first) constitutes final acceptance of the Product and waiver of any claim for damages, rejection, return or refund on account of latent defects, visible variances, installation errors or other non-conformities, except to the extent covered by the Limited Warranty. Once the Product is installed, no rejection for visible damage or defect shall be permitted.
Site Conditions & Installation
Shohaus is not responsible for site preparation, building access, or installation. Customer is solely responsible for ensuring adequate access, door and stair clearances, elevator reservations, floor leveling, and safe site conditions. Shohaus is not liable for delays, damages, or costs arising from inadequate site conditions or installation by third parties. Shohaus does not perform electrical, plumbing, or structural work and is not responsible for code compliance. Anti-tip hardware should be installed on tall case goods; if Customer declines or fails to secure to the wall, Customer assumes all risk.
Shohaus shall not be liable for costs, delays, or damage caused by inadequate site conditions or improper installation by third parties.
Any design suggestions, space planning input, or finish recommendations provided by Shohaus are advisory only. Customer remains solely responsible for verifying measurements, field conditions, integration with third-party components, and compliance with codes or regulations.
Compliance with Local Laws
Customer is solely responsible for determining whether Products comply with applicable local codes, ordinances, or regulations (including but not limited to fire safety, building standards, and accessibility requirements). Shohaus makes no representation of compliance unless expressly stated in writing.
ASSEMBLY & Safety
Certain Products ship in multiple components and may require light assembly. Hardware and pre-drilled elements are provided when applicable. Professional assembly is recommended. Tall or heavy furniture should be anchored to walls using appropriate anchors suited to the wall substrate. Anchors are not supplied due to varied site conditions.
Customer is responsible for compliance with local codes and safe installation.
Personal Injury; Use by Children, Babies, Animals and Third-Parties
Customer acknowledges and agrees that the Products supplied by Shohaus, LLC (“Shohaus”) are custom-made, often handcrafted, and may require anchoring, proper installation and safe use.
Shohaus expressly disclaims and will not be liable for any injuries (including bodily injury, death, or harm) to infants, children, animals, adults or any third party arising from use of the Products, whether caused by improper anchoring, installation, site conditions, misuse, alteration, removal of mounting hardware, failure to follow Shohaus’s instructions, or any other cause, except to the extent such injury is caused by Shohaus’s gross negligence or wilful misconduct.
Customer agrees to ensure that the Products are installed, anchored, maintained, and supervised appropriately when used by infants, children or adults, and acknowledges that they alone bear responsibility for appropriate mounting, anchoring, securing and safe‐use environment.
Assumption of Risk
Customer acknowledges that furniture and related products can pose tipping, weight-bearing, and pinch hazards if not properly installed, anchored, or used as intended. Customer voluntarily assumes all risks associated with the handling, installation, and use of the Products, including risks to minors, pets, or other individuals who may come into contact with them.
Insurance Recommendation
Customer is advised to maintain appropriate insurance covering the Products from delivery through installation and use, including but not limited to property damage, personal injury, anchoring failure, or other risk of loss arising from use, modification, or relocation of the Products. Shohaus does not provide insurance coverage or risks of use beyond those explicitly assumed in this Agreement.
Environmental Conditions & Acclimation
Products are handcrafted from natural materials and require acclimation to the final indoor environment prior to installation and use. Customer acknowledges that wood, veneers, leather, stone, and hand-applied finishes are sensitive to environmental conditions during transit, storage, and service.
To preserve Product integrity and maintain warranty coverage, Customer agrees to the following environmental requirements and procedures:
Conditioning Requirements
Customer shall maintain indoor conditions at
Relative Humidity (RH):35%–55%, continuously; and
Temperature:60°F–80°F (16°C–27°C), continuously.
Pre-Delivery & Post-Delivery Stabilization. Customer will ensure that HVAC systems are operational and set to the above ranges for at least seven (7) consecutive days prior to delivery and for at least seven (7) consecutive days after delivery. Do not install, load, or seal Products into millwork until acclimation has occurred.
Acclimation Procedure. Upon arrival at the premises, allow Products to equalize in their unopened shipping wrap for 12–24 hours, then unpack and allow free air circulation for an additional 48–72 hours in the installation space before use, loading, or anchoring. Avoid placing area rugs, protective pads, or heavy objects that trap moisture until acclimation is complete.
Humidity/Temperature Logs. In the event of a warranty claim, Customer must provide dated photographs and logs (e.g., data-logger, thermostat/hygrometer readouts) evidencing compliance with the above ranges for thirty (30) days before and thirty (30) days after delivery/installation. Absent such documentation, Shohaus may presume non-compliance and deny coverage.
Prohibited/High-Risk Conditions. Warranty coverage is void for installations in or adjacent to: unconditioned spaces; areas with direct or prolonged sunlight/UV; near active HVAC vents, radiators, fireplaces, stoves, or steam sources; rooms with routinely high moisture (e.g., bathrooms with inadequate ventilation, laundry rooms, pool rooms); or any location where RH/temperature regularly fall outside the stated ranges.
Natural Response Not a Defect. Customer acknowledges that movement such as expansion, contraction, hairline checks, seasonal gaps, minor cupping, surface ridges, and finish tone/sheen shifts are normal responses to environmental change and do not constitute defects. Shohaus disclaims all responsibility for such effects whether arising pre-delivery, in transit, during storage, or after installation.
Failure to maintain these ranges may result in expansion, contraction, warping, checking, splitting, or finish changes. Such occurrences are inherent in natural materials, do not constitute defects, and are not covered by warranty. Shohaus disclaims all liability for environmental effects outside of these ranges, regardless of origin, transit method, or duration of storage.
Materials, Finishes, & Tolerances
Shohaus Products are handcrafted from natural materials. Variations are inherent and embraced as part of artisanal production and shall not be deemed defects. These include, without limitation: wood grain, tone, and figure; stone veining, pitting, and fossilization; leather grain, range marks, healed scars, color variation; and hand-applied finish coloration, shading, and sheen.
Acceptable Tolerances
Dimensional tolerances for finished furniture are within customary industry standards. Unless otherwise agreed in writing, acceptable tolerances are:
± 0.5 inch for components up to 36 inches.
± 1.0 inch for components over 36 inches.
Plane, squareness, and reveal alignment are subject to hand-fit tolerances; minor racking or reveal variance up to 1/8 inch is acceptable. These variations are expected and excluded from warranty coverage. Shohaus shall not be liable for claims related to perceived inconsistencies in natural materials, finishing processes, or dimensional tolerances within these limits.
Samples & Matching
Samples, CAD renders, and photographs are approximate guides only. Color, sheen, figure, and texture may vary across batches, substrates, and components. Exact matching between items ordered at different times is not guaranteed
Living Finishes
Metal and certain clear/oil finishes are “living” and will patinate, rub, and change tone with handling and exposure. Edge “burn-through,” highlight rubs, and hand blending are normal characteristics.
Functional Tolerances
Drawer/door alignment and soft-close mechanisms are hand-set; minor variance in force or reveal may occur. Upholstery may exhibit puddling/wrinkling with use; foam firmness may vary ±10% from specified ILD; seat height may vary ±0.5 inch.
Stone & Porous Surfaces
Sealers are protective but not impermeable; etching, dulling, water rings, and staining from acids/oils/dyes may occur and are not defects.
Finish & Sheen
Minor sheen variation within customary industry tolerance is not a defect. Environmental exposure, cleaning agents, and use patterns will change appearance over time.
Measurement Conditions
Measurements are taken on a level surface at approximately 68–72°F and 45–50% RH. Measurements taken under other conditions may differ.
Exclusions
All foregoing characteristics and tolerances are excluded from warranty coverage.
Customer acknowledges that the final appearance may differ from samples, renders, or photographs due to natural variation and hand craftsmanship. Dissatisfaction based on aesthetic preference does not constitute a defect and is not grounds for rejection, return, refund, or warranty claim.
Craftsmanship Characteristics
Shohaus furniture is handmade by skilled builders, carpenters, and artisans. Subtle irregularities, tool marks, or minor finish variations are inherent to artisanal production and reflect the authenticity of handcrafted work. These characteristics are not considered defects and shall not constitute grounds for rejection.
Customer's Own Materials (COM/COL)
Shohaus accepts Customer’s Own Material (COM) and Customer’s Own Leather (COL) for upholstery projects.
All COM/COL shipments must include:
Customer or designer name and order/PO number.
Project or job name.
Supplier name, fabric description, and style number.
A sample cutting of the fabric or leather.
Guidelines
COM yardage is based on 54-inch wide goods.
COL is calculated at 18 sq. ft. per yard of 54-inch fabric, with a 5% surcharge.
Unless otherwise specified, seam placement, alignment, and face orientation will be determined by Shohaus.
Shohaus is not responsible for:
Mill or jobber shipping errors.
Dye lot variations, flaws, fading, or stretching.
Unsuitability of COM/COL for the intended application.
Product Care
Shohaus finishes are designed for durability but require proper care. Products should be cleaned with a soft, damp cloth. If further cleaning is necessary, a mild non-abrasive cleaner may be used. Do not use water-soaked rags, wax-based sprays, or harsh solvent-based cleaners. Spills must be wiped immediately. Excessive exposure to sunlight, humidity, or moisture may cause damage and void warranty coverage.
Any relocation, modification, repair, refinishing, installation of unauthorized components, alteration, removal of anchoring hardware, or use of the Product outside of the environment and installation conditions specified by Shohaus shall void all warranty coverage and relieve Shohaus of any liability for resulting damage, defect, or injury. Customer acknowledges that maintenance, environment, anchoring and installation are part of the safe use of the Product and accepts responsibility for adherence.
Order Changes & Cancellations
All Products are made to order.
To protect the scheduling, procurement, and fabrication process, the following rules apply:
Definition of Production Commencement
Production begins upon the earliest of:
Issuance of a Shohaus work order;
Release of drawings/finish tickets to production;
Purchase of materials or components; or
Five (5) business days after the date of the order acknowledgment - whichever occurs first.
Changes Before Production
Prior to Production, Customer may submit written change requests to hello@shohaus.com.
Approval is at Shohaus’ sole discretion and may be conditioned upon:
An administrative fee (minimum $250 or 5% of order value, whichever is greater),
Payment for any re-quoting, re-engineering, or re-sourcing, and
An adjusted price, reset Estimated Completion Date (ECD), and additional deposit (up to 100% for special materials).
Changes After Production
After Production begins, orders are strictly non-changeable. If Shohaus agrees in writing to attempt a change:
Customer will be responsible for all scrap, rework, and re-procurement costs at cost plus 20%;
A new ECD will be issued; and
Shohaus may require payment in full prior to resuming work. If the requested change is infeasible, the original specification will stand and remain fully payable.
Cancellations, Deferrals, & Holds
Before Production: Cancellations are not guaranteed and, if approved in writing, are subject to forfeiture of the non-refundable deposit plus all non-recoverable costs (including vendor restocking, special-order materials, and administrative time).
After Production: No cancellations. Customer is liable for 100% of the order value and all related storage, handling, and delivery fees.
Deferrals/Holds. Customer requests to defer delivery, consolidate shipments, or hold inventory must be made in writing and, if approved, are subject to storage fees per the Storage section, redelivery fees, and any increases to freight or accessorial charges. Holds do not suspend payment obligations.
Non-Responsiveness. If Customer fails to provide approvals or information within five (5) business days of Shohaus’s written request, Shohaus may either (i) pause work and extend the ECD with applicable storage/hold fees, or (ii) proceed using the most recently approved drawings/finishes at Customer’s risk.
Final Authority. Verbal statements or messages to sales representatives do not constitute approval. Only written acknowledgments from Shohaus are binding.
Deposits Policy
Deposits are always non-refundable.
Returns & Refunds
All sales are final for custom and made-to-order Products. No returns, refunds, exchanges, or credits will be issued except as required by law or expressly authorized in writing by Shohaus.
To protect the scheduling, procurement, and fabrication process, the following rules apply:
Custom/Made-to-Order
All custom and made-to-order are non-cancellable and non-returnable under all circumstances. This includes Products with custom dimensions, finishes, configurations, or Customer-supplied materials (COM/COL).
Stock Items / Ready to Ship Items
Returnable only with a Return Merchandise Authorization (RMA) issued by Shohaus, requested within fifteen (15) days of delivery, uninstalled, in original packaging, and in resalable condition. Returns without an RMA will be refused.
Restocking Fee: Not less than 20% of the invoiced price; higher fees may apply for oversized, special-finish, or limited-run items.
Freight/Handling: Non-refundable. Outbound and return freight are Customer’s responsibility.
Risk of Loss: Customer bears risk of loss/damage in return transit; insured, trackable shipping is required.
Inspection/Disposition: Shohaus will inspect returns within ten (10) business days of receipt. Items showing installation, modification, damage, missing parts/packaging, or sanitation issues (e.g., upholstery) will be rejected or subject to reconditioning fees at cost plus 20%.
Refund Method/Timing: Approved refunds are issued to the original payment method unless otherwise stated, within a reasonable period after inspection, less all applicable fees.
Installed, modified, damaged, or incomplete items
Installed, modified, damaged, or incomplete items are not eligible for return.
Shipping, handling, and delivery charges
Shipping, handling, and delivery charges are non-refundable. Buyer is responsible for all transportation fees associated with returning items back to Shohaus.
Unauthorized Refusals
If Customer refuses delivery for reasons other than documented freight damage noted on the Bill of Lading, such refusal is treated as an unauthorized return, and Customer remains liable for all costs, including redelivery, storage, and handling.
Abandoned Property & Lien
If Customer fails to take delivery or pay storage and outstanding balances within thirty days after notice, Shohaus may treat the order as abandoned, resell the Products, and apply proceeds to amounts owed, without prejudice to other remedies. Customer remains liable for any deficiency.
If Customer refuses delivery or fails to complete payment after Products arrive at port or final destination, the order shall be deemed abandoned. Shohaus may resell or dispose of the Products at its discretion and apply any proceeds against Customer’s outstanding balance. Customer remains liable for all costs, including freight, storage, customs, and disposal fees.
Warranty
Shohaus provides a limited one-year warranty covering defects in materials and workmanship under normal residential use, beginning on the date of shipment. The warranty is limited to repair or replacement of the affected Product at the sole discretion of Shohaus.
A valid Shohaus order number and proof of purchase must be provided for all claims.
This warranty does not cover:
Freight, delivery, installation, removal, site work, or other third-party costs.
Unauthorized repairs, alterations, or modifications.
Damage caused by misuse, neglect, mishandling, or improper care.
Normal wear and tear.
Variations inherent to natural materials, including wood grain, tone, stone veining, fabric or leather dye lots, and hand-applied finishes.
Wood movement including expansion, contraction, checks, or warping due to humidity or climate.
Fading, patination, UV exposure, water exposure, or extreme environmental conditions.
Beyond the one-year coverage, Shohaus may, at its discretion, offer repair or service support, which may incur additional charges.
EXCEPT FOR THE LIMITED WARRANTY SET FORTH ABOVE, SHOHAUS DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Customer acknowledges that the Products are custom made and accepts the inherent variances in materials, finishes and craftsmanship. The remedies set forth in the Limited Warranty are Customer’s sole and exclusive remedies for any breach of warranty.
Third-Party Products & Services
Any third-party branded components or services are provided subject to the third party’s terms. Shohaus makes no warranties regarding third-party products or services and disclaims all implied warranties to the fullest extent permitted by law.
Prop 65 Notice

Intellectual Property & Design Rights
All designs, drawings, specifications, prototypes, renderings, photographs, tooling, jigs, and marketing materials created by or provided by Shohaus are and remain the exclusive property of Shohaus. No license or ownership is granted. Customer shall not copy, reverse engineer, manufacture, or cause to be manufactured any Products or derivatives based on Shohaus IP without prior written consent.
Customer Requested Designs and Similarities to Other Products
Customer acknowledges and agrees that if they request Designs for Products that resemble, mimic, replicate or are identical to existing products offered by other brands, manufacturers or designers, Shohaus does not warrant that such Products are free from claims of intellectual property infringement of third parties. Customer is solely responsible for obtaining any necessary approvals, consents or rights from third-party rights holders in connection with such Designs. Shohaus shall have no obligation to monitor or investigate potential third-party intellectual property claims, and Customer hereby agrees to indemnify, defend and hold harmless Shohaus from any liability, damages, costs, fees or expenses (including reasonable attorneys’ fees) arising out of or related to a claim by a third party that the Design or the finished Product infringes or misappropriates any intellectual property or other rights of such party.
Customer represents and warrants that any design, sketch, or reference image provided to Shohaus for custom manufacture is original to Customer or lawfully licensed, and does not infringe any third-party intellectual property rights.
Photography & Portfolio Use
Shohaus may photograph Products before shipment and may display images of finished Products in its portfolio and marketing, excluding Customer confidential information. If on-site photography is requested, Customer will provide reasonable access or may decline.
Indemnification
Customer agrees to defend, indemnify, and hold Shohaus harmless from and against all third-party claims, losses, liabilities, damages, and expenses, including reasonable attorneys’ fees, arising from Customer’s misuse of the Products, failure to follow care or installation instructions, provision or use of COM or COL, violation of laws or third-party rights, or breach of this Agreement.
Limitation of Liability
Except to the extent prohibited by applicable law, in no event shall Shohaus, LLC (“Shohaus”) be liable to Customer or any third party for any indirect, incidental, special, punitive, exemplary or consequential damages, including without limitation lost profits, loss of use, loss of business or loss of opportunity, whether arising under contract, tort (including negligence), statute, strict liability or otherwise, even if Shohaus has been advised of the possibility of such damages.
Shohaus’s aggregate liability under or in connection with this Agreement, any Order, or any Product shall in no event exceed the total amount paid by Customer to Shohaus for the applicable Product under the Order giving rise to the claim.Notwithstanding the foregoing, nothing herein shall limit or exclude Shohaus’s liability for (i) death or personal injury caused by its negligence, (ii) fraud or wilful misconduct, or (iii) any other liability which cannot be excluded or limited by applicable law.
FORCE MAJEURE
Force majeure events include, without limitation, natural disasters, epidemics, war, terrorism, cyber incidents, government orders, port congestion, container shortages, vessel omissions, labor strikes or slowdowns, embargoes, sanctions, changes in customs or trade policy, power failures, and transportation network disruptions. Performance is excused for the duration of the event and for a reasonable recovery period thereafter.

Formal notices must be in writing and delivered by email to hello@shohaus.com or to the address provided by either party for notices. Routine order communications may be by email.
Governing Law & Dispute Resolution
This Agreement is governed by the laws of the State of California without regard to conflicts principles. The state and federal courts located in Los Angeles County, California have exclusive jurisdiction. Before filing suit, the parties will attempt in good faith to resolve disputes through executive-level negotiation or mediation within thirty days of written notice. Each party waives any right to a jury trial and to class or representative proceedings to the maximum extent permitted by law.
The prevailing party in any action, arbitration, or proceeding arising out of or relating to this Agreement shall be entitled to recover its reasonable attorneys’ fees and costs from the non-prevailing party.
Severability, Assignment, & Entire Agreement
If any provision of this Agreement is held invalid, illegal, or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect. Nothing herein limits non-waivable consumer protections under applicable law.
Customer may not assign or transfer this Agreement or any order without Shohaus’s prior written consent. This Agreement and the applicable Order Acknowledgment constitute the entire agreement regarding the sale of Products and supersede prior discussions. Shohaus may update this Agreement from time to time. The version in effect on the date of Customer’s order governs that order.
No Waiver; Survival
Shohaus’s delay or failure in exercising any right or remedy under this Agreement shall not constitute a waiver of such right or remedy unless made in writing and signed by an authorized representative of Shohaus.
The provisions of this Agreement relating to payment obligations, risk of loss/title transfer, warranty disclaimers and limitations, indemnification, intellectual property rights, governing law and venue, assignment, and survivability of obligations shall survive termination or expiration of this Agreement.
